Formation

What each state charges to form and keep an LLC

New Mexico is the lowest to form at $50. The yearly charge runs from $0 (New Mexico, Texas and New York) to $800 (California). Every figure is a fee the state itself publishes, for a company owned from abroad with no revenue in the state.

What the table leaves out

  • A registered agent at a physical address in the state is required in 7 of 8 states. New York instead names the Secretary of State as the agent and asks for a mailing address. The agent’s own fee is set by the agent, not the state, and is not in these figures.
  • The IRS side of owning a US company from abroad is the same in every state. See the filing deadlines and the Form 5472 services.
  • Fees for an LLC that operates in the state, has employees there or sells there can differ. These are the figures for a company that only exists on paper in the state.
