Forming an LLC in Delaware
Delaware charges $110 to form an LLC and $400 a year to keep, for a company with no revenue in the state.
The state investors and lawyers expect. Its fixed annual tax is the largest of the common choices, which is most of why it costs more to keep.

What we could not confirm
Not published on a Delaware page we could read, so left out rather than estimated.
- Whether Delaware requires any state business licence. That is issued by a separate agency we did not read.
For a domestic single-member LLC with no employees, no revenue and no office in Delaware. Read on Delaware’s own websites in September 2026. State fees change, so confirm on the state’s page before you file. The IRS side is the same in every state: see the filing deadlines. Not tax or legal advice.
